1. Over ons 1. About us

Bald Software Development Studio UG (haftungsbeschränkt), handelend onder de naam “bald.studio” (“wij”, “ons”), is een in Duitsland gevestigde onderneming die webdesign- en ontwikkeldiensten levert. Contact: [email protected]. Deze voorwaarden zijn van toepassing op iedere bestelling die u via deze pagina plaatst. Bald Software Development Studio UG (haftungsbeschränkt), trading as “bald.studio” (“we”, “us”), is a company established in Germany providing web design and development services. Contact: [email protected]. These terms apply to any order you place through this page.

2. Wat wij leveren 2. What we provide

• Website — professionele, responsieve website (eenmalig €290). Website — professional, responsive website (one-time €290).
• Domeinmigratie — verbinden van uw bestaande domein met de nieuwe website (eenmalig €90, optioneel). Domain migration — connecting your existing domain to the new website (one-time €90, optional).
• E-mailinstallatie — instellen van een professioneel e-mailadres op uw domein (eenmalig €30, optioneel). Email setup — configuring a professional email address on your domain (one-time €30, optional).
• Onderhoud & hosting — gratis het eerste jaar; vanaf jaar 2 €30/jaar (hosting, e-mailhosting, anti-spam, beveiligingsupdates, kleine aanpassingen). Maintenance & hosting — free in year 1; from year 2 onwards €30/year (hosting, email hosting, anti-spam, security updates, minor fixes).

3. Totstandkoming en ingang van de overeenkomst 3. Contract formation and effective date

De overeenkomst tussen u (de “Klant”) en bald.studio komt tot stand op het moment dat uw betaling succesvol door ons is ontvangen. Deze voorwaarden, in de versie die geldt op de datum van betaling, zijn vanaf dat moment bindend voor beide partijen. U ontvangt een orderbevestiging en een factuur (met BTW waar van toepassing). The contract between you (the “Client”) and bald.studio is formed at the moment your payment is successfully received by us. These terms, in the version in effect on the date of payment, become binding on both parties from that moment onwards. You will receive an order confirmation and an invoice (with VAT where applicable).

4. Prijzen en betaling 4. Pricing and payment

Alle prijzen zijn in euro's en exclusief BTW tenzij anders vermeld. Betaling vindt plaats bij checkout via onze beveiligde betaalprovider (Stripe Payments Europe). Zakelijke klanten kunnen hun BTW-nummer invullen tijdens checkout voor een zakelijke factuur; waar van toepassing wordt de BTW-verleggingsregeling gebruikt. All prices are in euros and exclude VAT unless stated otherwise. Payment is due at checkout via our secure payment provider (Stripe Payments Europe). Business customers can enter their VAT number (BTW-nummer) at checkout to receive a business invoice; where applicable, the VAT reverse-charge mechanism is used.

5. Levering 5. Delivery

Wij streven ernaar uw nieuwe website binnen 7 werkdagen na succesvolle ontvangst van uw betaling live te zetten. Levertijden zijn indicatief; vertragingen veroorzaakt door ontbrekende informatie van uw kant, door derden (bijvoorbeeld uw domein- of e-mailprovider) of door overmacht vallen buiten onze verantwoordelijkheid. We aim to deliver and launch your new website within 7 business days after your payment is successfully received. Delivery times are indicative; delays caused by missing information from your side, by third parties (for example your domain or email provider), or by events beyond our control are outside our responsibility.

6. Uw verantwoordelijkheden 6. Your responsibilities

• Juiste informatie aanleveren en tijdig feedback geven. Provide accurate information and give timely feedback.
• Ofwel de DNS-instellingen zelf invoeren bij uw huidige provider (volgens onze instructies), óf uw inloggegevens met ons delen zodat wij het voor u doen. Either enter the DNS settings at your current provider yourself (per our instructions), or share your login credentials with us so we can do it for you.
• Domeinverlenging valt buiten onze dienstverlening. De jaarlijkse verlengingskosten van uw domeinnaam betaalt u rechtstreeks aan uw huidige domeinprovider. Domain renewal is not part of our service. You pay the yearly domain renewal fee directly to your current domain provider.
• De content op uw website is volledig uw verantwoordelijkheid. U bent zelf verantwoordelijk voor de juistheid, rechtmatigheid, actualiteit en geschiktheid van alle teksten, afbeeldingen, prijzen, bedrijfsgegevens en andere inhoud. U garandeert dat u over alle benodigde rechten en licenties beschikt. Wij dragen geen enkele aansprakelijkheid voor de content zelf. The content on your website is entirely your responsibility. You are solely responsible for the accuracy, legality, up-to-dateness, and appropriateness of all text, images, prices, business details, and other content. You warrant that you hold all necessary rights and licenses. We bear no liability for the content itself.
• De website niet gebruiken voor onrechtmatige doeleinden. Not use the website for unlawful purposes.

7. Aanpassingen (revisies) 7. Revisions

Na de volledige oplevering van uw website heeft u recht op één (1) kosteloze aanpassingsronde. Deze ronde omvat alle wijzigingen die u wenst, ongeacht welk element van de website het betreft (teksten, kleuren, logo's, afbeeldingen, of andere inhoud). After the full delivery of your website you are entitled to one (1) free revision round. This round covers all the changes you want, regardless of which element of the website they concern (text, colors, logos, images, or other content).

Om van deze kosteloze aanpassingsronde gebruik te maken gelden de volgende voorwaarden: The following conditions apply to this free revision round:

• U dient alle gewenste wijzigingen gebundeld in één enkel verzoek in; losse of opvolgende verzoeken gelden als afzonderlijke rondes. You must submit all desired changes bundled in a single request; separate or follow-up requests count as additional rounds.
• U levert zelf alle benodigde content aan voor de wijzigingen, waaronder teksten, kleurcodes, logo's, afbeeldingen en alle overige materialen. Wij creëren, vertalen, fotograferen of licentiëren geen content namens u. You must provide all content required for the changes yourself, including text, color codes, logos, images, and any other materials. We do not create, translate, photograph, or license content on your behalf.
• Ontbrekende of onvolledige content betekent dat de betreffende wijziging niet wordt uitgevoerd. Missing or incomplete content means that the change in question will not be carried out.

Na afronding van deze eerste aanpassingsronde hebben wij geen verdere verplichting om aanvullende wijzigingen door te voeren. Voor elke verdere aanpassing geldt dat wij naar eigen inzicht kunnen kiezen om: After this first revision round has been completed, we have no further obligation to carry out additional changes. For any further adjustment, we may at our sole discretion choose to:

• het werk afzonderlijk te offreren en bij u in rekening te brengen; of quote the work separately and invoice you for it; or
• de gevraagde wijziging niet uit te voeren. decline to carry out the requested change.

8. Eigendom en intellectueel eigendom 8. Ownership and intellectual property

Na volledige betaling bent u 100% eigenaar van de code, content en het design van de website. Wij behouden het recht om uw project in onze portfolio te tonen, tenzij u ons vraagt dit niet te doen. Externe assets (fonts, libraries) blijven onderworpen aan hun eigen licenties. Upon full payment, you own 100% of the website's code, content, and design. We retain the right to display your project in our portfolio unless you ask us not to. Third-party assets (fonts, libraries) remain subject to their own licenses.

9. Onderhoud, hosting en ondersteuning 9. Maintenance, hosting and support

• Jaar 1: onderhoud en hosting zijn gratis. Year 1: maintenance and hosting are free.
• Vanaf jaar 2: €30/jaar (hosting, e-mailhosting, anti-spam, beveiligingsupdates, kleine aanpassingen). From year 2 onwards: €30/year (hosting, email hosting, anti-spam, security updates, minor fixes).
• Bugfixes en technische problemen zijn altijd inbegrepen. Bug fixes and technical issues are always included.
• Grote content-updates of nieuwe functies kunnen apart geoffreerd worden. Major content updates or new features may be quoted separately.
• Tekstaanpassingen voert u niet zelf door — neem contact met ons op en wij verwerken ze. You do not edit website text yourself — contact us and we'll handle it.

Hosting en beschikbaarheid Hosting and availability

Wij hosten uw website op Google Firebase Hosting. De beschikbaarheid, uptime en prestaties van uw website zijn afhankelijk van het serviceniveau dat door Firebase (Google LLC) wordt geboden. Wij bieden geen afzonderlijke uptime-garantie bovenop wat Firebase levert. Zie firebase.google.com/terms/hosting voor de voorwaarden van de hostingprovider. Your website is hosted on Google Firebase Hosting. The availability, uptime, and performance of your website depend on the service level provided by Firebase (Google LLC). We do not offer a separate uptime guarantee beyond what Firebase provides. See firebase.google.com/terms/hosting for the hosting provider's terms.

Wijziging van de onderhoudsfee Changes to the maintenance fee

Wij behouden ons het recht voor de jaarlijkse onderhoudsfee van €30 aan te passen. Wijzigingen worden ten minste 30 dagen voor de ingangsdatum per e-mail aan u gecommuniceerd. Als u niet akkoord gaat met de nieuwe fee, heeft u het recht de onderhoudsovereenkomst kosteloos op te zeggen vóór de ingangsdatum van de wijziging (zie artikel 11). Zonder opzegging wordt u geacht de nieuwe fee te hebben aanvaard. We reserve the right to adjust the yearly €30 maintenance fee. Changes will be communicated to you by email at least 30 days before they take effect. If you do not agree to the new fee, you have the right to cancel the maintenance agreement free of charge before the effective date of the change (see section 11). Without cancellation, you are deemed to have accepted the new fee.

10. Herroepingsrecht en terugbetaling 10. Right of withdrawal and refunds

Wij bieden binnen 14 dagen na uw bestelling een volledige terugbetaling aan indien u niet tevreden bent met het resultaat. Neem contact op via [email protected] om een terugbetaling aan te vragen. Terugbetaling vindt binnen 14 dagen na goedkeuring plaats via uw oorspronkelijke betaalmethode. We offer a full refund within 14 days of your order if you are not satisfied with the result. Contact [email protected] to request a refund. Refunds are processed within 14 days of approval, via your original payment method.

Voor consumenten geldt het wettelijke herroepingsrecht van 14 dagen op afstand-aankopen. Voor zakelijke klanten (B2B) geldt onze vrijwillige 14-dagen garantie zoals hierboven omschreven. For consumers, the statutory 14-day right of withdrawal for distance purchases applies. For business customers (B2B), our voluntary 14-day guarantee as described above applies.

11. Opzegging onderhoud 11. Cancelling maintenance

U kunt het jaarlijkse onderhoud (vanaf jaar 2) op elk moment opzeggen. Opzegging gaat in aan het einde van de betaalde periode. Na opzegging vervalt hosting, e-mailhosting en onderhoud, maar de code van de website blijft van u. You can cancel the yearly maintenance (from year 2) at any time. Cancellation takes effect at the end of the paid period. After cancellation, hosting, email hosting, and maintenance are no longer provided, but the website code remains yours.

12. Privacy en gegevensbescherming (AVG/GDPR) 12. Privacy and data protection (GDPR)

Wij verwerken persoonsgegevens in overeenstemming met de AVG (GDPR): We process personal data in accordance with the EU GDPR:

• Gegevens die wij verzamelen: naam, bedrijfsnaam, e-mail, telefoonnummer, factuuradres, domein, betaalgegevens en door u aangeleverde content. Data we collect: name, business name, email, phone, billing address, domain, payment info, and any content you provide.
• Doel: levering van de dienst, facturatie, communicatie, en wettelijke verplichtingen. Purpose: delivering the service, invoicing, communication, and legal obligations.
• Rechtsgrond: uitvoering van de overeenkomst, gerechtvaardigd belang en wettelijke verplichting. Legal basis: contract performance, legitimate interest, and legal obligation.
• Bewaartermijn: zolang onze zakelijke relatie duurt en tot 10 jaar voor facturatie- en boekhoudgegevens, conform de wettelijke bewaarplichten naar Duits recht (§ 147 AO en § 257 HGB). Retention: for the duration of our business relationship, and up to 10 years for invoicing and accounting records, in accordance with the statutory retention obligations under German law (§ 147 AO and § 257 HGB).
• Sub-verwerkers: Stripe (betalingen), onze hostingprovider, en onze e-mailprovider. Sub-processors: Stripe (payments), our hosting provider, and our email provider.
• Uw rechten: inzage, rectificatie, verwijdering, overdraagbaarheid en bezwaar. Verzoeken via [email protected]. Your rights: access, rectification, erasure, portability, and objection. Send requests to [email protected].
• Klachten: u kunt een klacht indienen bij de bevoegde Duitse toezichthouder voor gegevensbescherming (de deelstaatelijke toezichthouder van de vestigingsplaats van onze onderneming, of de Bundesbeauftragte für den Datenschutz und die Informationsfreiheit, zie bfdi.bund.de). U kunt zich ook wenden tot de toezichthouder in uw eigen EU-lidstaat. Complaints: you can lodge a complaint with the competent German data protection supervisory authority (the state data protection authority at the registered office of our company, or the German Federal Commissioner for Data Protection and Freedom of Information, see bfdi.bund.de). You may also contact the supervisory authority in your own EU member state.

Voor betaalverwerking treedt Stripe op als zelfstandige verantwoordelijke. Zie stripe.com/privacy. For payment processing, Stripe acts as an independent controller. See stripe.com/privacy.

13. Vertrouwelijkheid 13. Confidentiality

Beide partijen behandelen informatie die tijdens het project wordt gedeeld als vertrouwelijk en gebruiken die uitsluitend voor het doel van het project. Both parties treat information shared during the project as confidential and use it only for the purpose of the project.

14. Aansprakelijkheid 14. Liability

Onze totale aansprakelijkheid voortvloeiend uit of in verband met deze overeenkomst is beperkt tot een vast maximumbedrag van €290, ongeacht het daadwerkelijk door u betaalde bedrag en ongeacht de juridische grondslag (contract, onrechtmatige daad of anderszins). Wij zijn niet aansprakelijk voor indirecte schade, gederfde winst, gemiste besparingen, verlies van gegevens of gevolgschade. Wij zijn evenmin aansprakelijk voor de content die u aan de website toevoegt (zie artikel 6). Aansprakelijkheid voor opzet, grove nalatigheid, of schade aan leven, lichaam of gezondheid, of andere aansprakelijkheid die naar dwingend recht niet kan worden uitgesloten, blijft onverkort van toepassing. Our total liability arising out of or in connection with this agreement is limited to a fixed maximum of €290, regardless of the amount actually paid by you and regardless of the legal basis (contract, tort, or otherwise). We are not liable for indirect damages, loss of profit, lost savings, loss of data, or consequential damages. We are likewise not liable for the content you add to the website (see section 6). Liability for intent, gross negligence, or injury to life, body, or health, or any other liability that cannot be excluded under mandatory law, remains unaffected.

15. Overmacht 15. Force majeure

Geen van beide partijen is aansprakelijk voor vertragingen of niet-nakoming als gevolg van gebeurtenissen buiten redelijke controle (natuurrampen, storingen bij derde partijen, enz.). Neither party is liable for delays or non-performance caused by events beyond reasonable control (natural disasters, outages at third-party providers, etc.).

16. Toepasselijk recht en geschillen 16. Governing law and disputes

Op deze voorwaarden is het recht van de Bondsrepubliek Duitsland van toepassing, met uitsluiting van het Weens Koopverdrag (CISG). Geschillen worden eerst in goed vertrouwen besproken. Indien niet opgelost, is uitsluitend de bevoegde rechter van de statutaire zetel van Bald Software Development Studio UG (haftungsbeschränkt) bevoegd, voor zover dwingendrechtelijke bepalingen voor consumenten niet anders voorschrijven. These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Disputes are first addressed through good-faith negotiation. If unresolved, the courts competent at the registered office of Bald Software Development Studio UG (haftungsbeschränkt) shall have exclusive jurisdiction, unless mandatory consumer protection rules provide otherwise.

17. Wijziging van deze voorwaarden 17. Changes to these terms

Wij behouden ons het recht voor deze voorwaarden op elk moment eenzijdig te wijzigen of aan te vullen. Wijzigingen zijn van toepassing op alle klanten, waaronder ook bestaande klanten, en treden in werking op de door ons in de kennisgeving vermelde datum. We reserve the right to amend or supplement these terms unilaterally at any time. Changes apply to all customers, including existing customers, and take effect on the date specified in our notice.

Wij stellen u per e-mail op de hoogte van wezenlijke wijzigingen, ten minste 30 dagen voor de ingangsdatum. Wijzigingen die noodzakelijk zijn vanwege wettelijke voorschriften, veiligheidsredenen of misbruikbestrijding kunnen eerder ingaan. Indien u niet akkoord gaat met een wijziging, kunt u de doorlopende diensten (zoals onderhoud en hosting) vóór de ingangsdatum kosteloos opzeggen conform artikel 11. Indien u na de ingangsdatum gebruik blijft maken van onze diensten, geldt dat als aanvaarding van de gewijzigde voorwaarden. We will notify you of material changes by email at least 30 days before the effective date. Changes required by law, for security reasons, or to prevent abuse may take effect earlier. If you do not agree to a change, you may cancel the ongoing services (such as maintenance and hosting) free of charge before the effective date in accordance with section 11. If you continue to use our services after the effective date, this is deemed acceptance of the amended terms.
